By investing in this offering, you are purchasing shares directly from nth Venture in each of its second cohort (Cohort 2) studio ventures being commissioned out of the nth Venture studio. Shares in each company are offered at $0.01. Each company has 100 million authorized shares at inception, of which 30 million are currently outstanding — 15 million of which nth Venture makes available for sale to Cohort Investors.

You will be granted shares of common stock in each of the current Cohort companies - four for Cohort 2. We provide share certificates and tracking through Pulley, a trusted third-party equity management platform.

Proceeds from the sale of equity in the second cohort of businesses will be used to fund all operations of the studio, including staff, software, recruiting, travel, and professional expenses.

You are encouraged to visit the company websites, which are linked on the Portfolio section of the nth Venture website. As a shareholder, you will also be entitled to attend each company’s annual meeting of shareholders, which will be scheduled at a future date in 2023.

Prior to finalizing the brands, we use placeholder names for the entities (i.e. nth New Company 1). They are all C Corps registered in the State of Texas. Cohort 2 includes the following four companies, which may change name while being launched: Sentius Development, PRreact, SBR2th and Certd.
